Our Practice

We work with nonprofit organizations of many different sizes across many fields, providing legal and strategic counsel.  Our clients include some of the largest U.S. charities in the private foundation, supporting organization, and donor-advised fund sectors.  Other clients provide direct services to vulnerable groups, particularly children and animals; our trade organization clients advance the objectives of their members.  From facilitating daily operations to guiding clients through once-in-a-lifetime restructures, we love what we do, and we are proud that our clients make the world better.

 

Founded in 2016 by experienced nonprofit lawyers, this firm has worked with hundreds of exempt organizations, including private foundations and public charities of all sizes, trade organizations/business leagues, social clubs, and fraternal organizations.  We help: 

  • Private foundations navigate complex tax issues, such as unrelated business income tax (“UBIT”), private foundation excise taxes, and correcting historical IRS misclassifications of tax status.

  • International organizations establish American “friends of” affiliates to facilitate fundraising

  • Public charities negotiate and accept gifts of illiquid assets such as real estate, closely held businesses, and pre-IPO stock

  • Fiscal sponsors navigate the different “models” of fiscal sponsorship and implement programs for Models A, C, and L fiscal sponsorship, including all associated documents

  • Social clubs understand the IRS rules regarding their permitted exempt activities and restrictions on income from non-members
