Joyce C. Sun

Joyce is a partner at Conley Law Group LLC. As an experienced transactional attorney, she represents a variety of tax-exempt clients, ranging from grantmaking institutions and trade associations to direct service organizations. Her work includes complex intercompany contracts, licensing agreements, and mergers and affiliations. In addition, Joyce provides clients with practical guidance on acquisitions, sales, leases, donations of real estate, property tax exemption, and other real estate transactional matters. She helps clients manage real estate assets such as office space, community gardens, medical facilities, and historical buildings. Prior to joining Conley Law Group, she advised nonprofit clients at a large, full-service law firm based in Philadelphia.
Joyce is a past chair of the Executive Committee of the Property Section for the Philadelphia Bar Association. She is an avid home grower of orchids and tropical mosses. Outdoors, she loves botanical gardens and the chickens at Emerald Street Urban Farm, where she is a member.
Representative Matters
Drafted intercompany contracts to provide back-office services and allocate assets, services, and intellectual property across multiple related charitable entities with total annual budget of approximately $50 million
Helped private foundation with approximately $80 million in assets carry out series of program-related investments focused on affordable housing, including investments secured by mortgages
Counseled donor advised fund in accepting gift of multi-tenant industrial property and subsequent disposition thereof for more than $50 million
Drafted all documents for fiscal sponsorship structures for Models A, C, and L including Directed Trustee model and multiple affiliated entities for a fiscal sponsor with a $10 million annual budget.
Represented behavioral health and social services nonprofit with annual budget of approximately $50 million in handling real estate issues, including donations of office buildings, landlord-tenant matters, historical permit issues, and real estate tax exemption
Counseled diocese and associated nonprofit and religious organizations in handling real estate portfolio matters including lien issues, property tax exemptions, title issues, and landlord-tenant matters
Represented community organization in acquiring lots underlying long-established neighborhood garden, including resolving complex title issues and negotiating with municipal authorities
