By creating customized legal structures based upon the unique culture and philanthropic goals of our clients, we help clients build better futures for themselves and the planet. We represent organizations in negotiating joint ventures and licensing agreements with for-profit organizations, as well as spinning off subsidiary entities that can engage directly with funders. We advise organizations with Unrelated Business Income Tax (UBIT) issues such as standardizing corporate sponsorship contracts and pricing, analyzing gift shop revenue, and structuring license agreements to minimize UBIT. We help clients lobby, in support of or opposed to legislation, and expand an advocacy portfolio while remaining compliant with US rules applicable to 501(c)(3) charities.
We assist clients with taking donations all shapes and sizes, including accepting complex illiquid assets, such as interests in closely held businesses, partnership entities, and hedge funds. Our practice includes helping clients to address issues raised by prior charitable gifts and working with clients on removing restrictions on old charitable funds.
We also help organizations set up complex fiscal sponsorships and “friends of” entities, which may fundraise for a specific project of a government or international organization.
